END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Canopy Crossroad LLC, a company organized and operating under the laws of New Jersey, with its principal place of business in Red Bank, NJ ("Canopy Crossroad", "we", "our", or "us").

By downloading, installing, or using the Canopy Crossroad mobile application (the “App”) on any device running iOS or Android, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the App.

1. License Grant

Subject to your compliance with this Agreement, Canopy Crossroad LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for your personal, non-commercial use on a mobile device owned or controlled by you.

2. Restrictions

You agree not to:

Modify, reverse engineer, decompile, or disassemble the App;
Reproduce, redistribute, rent, lease, sublicense, or otherwise transfer the App to third parties;
Use the App for any unlawful purpose, including any activity that violates New Jersey cannabis regulations or federal law;
Remove or alter any proprietary notices or labels in the App.

3. User Eligibility

You must be at least 21 years of age and legally permitted to purchase cannabis products in New Jersey to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.

4. Compliance with Laws

You agree to comply with all applicable laws and regulations, including those specific to cannabis use and sales in the State of New Jersey. Canopy Crossroad LLC reserves the right to suspend or terminate access for any user found to be in violation of such laws.

5. Intellectual Property

The App and all associated content, logos, trademarks, images, product descriptions, and other intellectual property are owned by or licensed to Canopy Crossroad LLC and are protected by intellectual property laws. You are granted no ownership rights in the App or its content.

6. Privacy

Your use of the App is subject to our Privacy Policy, which can be reviewed at:

By using the App, you consent to the collection and use of your data as outlined in the Privacy Policy.

7. Termination

This license is effective until terminated by either party. Your rights under this license will terminate automatically without notice if you fail to comply with any terms of this Agreement. Upon termination, you must cease all use of the App and delete all copies.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranty of any kind. Canopy Crossroad LLC disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Canopy Crossroad LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use or inability to use the App.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
